Terms of Use

1. Agreement and eligibility

These Terms of Use ("Terms") govern your use of the website miraclinical.com and the MiRA app and platform (the "Services") offered by MiRA Clinical, Inc. ("MiRA," "we," "us"). By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 18 years old. If you use the Services for an employer, school, or other organization (an "Institution"), you confirm you are authorized to do so. If your Institution has a signed agreement with MiRA, that agreement controls where it conflicts with these Terms.

2. The Services

MiRA provides voice-first tools for nursing documentation, AI patient simulations for clinical practice, real-time learning guidance, performance scoring, and dashboards for faculty and leadership. We may add, change, or remove features over time.

3. Not medical advice

MiRA supports clinical work and education. It does not replace professional clinical judgment.

  • MiRA does not diagnose, treat, or make care decisions. You remain responsible for patient care and for the accuracy of anything you document or sign.
  • Transcripts, extracted findings, guidance, and scores are generated by AI and may contain errors. Review all output before relying on it or entering it into a medical record.
  • Simulation patients and scenarios are fictional and for training only. Completing a simulation does not certify competency or satisfy licensing requirements unless your Institution decides it does.
  • In an emergency, follow your facility's protocols. Do not rely on MiRA.

4. Accounts and acceptable use

Keep your login details confidential and tell us at hello@miraclinical.com if you suspect unauthorized access. You are responsible for activity under your account. Your Institution may create, manage, view, or close your account.

You agree not to:

  • Enter real patient information into simulation features, or enter PHI anywhere your Institution has not authorized
  • Record anyone without the consent your facility's policies and the law require
  • Share your account or access data you are not authorized to see
  • Copy, reverse engineer, scrape, or resell the Services, or use them to build a competing product
  • Interfere with security, overload systems, or upload malicious code
  • Use the Services for anything unlawful, deceptive, or harmful

We may suspend or remove access that violates these Terms.

5. Your content and our intellectual property

Your content. You and your Institution keep ownership of recordings, notes, and other content you submit. You give MiRA a limited license to host, process, and use that content to provide and support the Services, as described in our Privacy Policy and any Institution agreement. We may use de-identified, aggregated data to operate and improve the Services.

Our property. MiRA owns the Services, including software, simulation scenarios, patient characters, rubrics, designs, and the MiRA name and logo. We grant you a limited, non-exclusive, non-transferable right to use the Services under these Terms. All other rights are reserved.

Feedback. If you send us ideas or suggestions, we may use them without obligation to you.

6. Fees, third parties, and termination

Fees. Paid plans, pilots, and licenses are governed by the order form or agreement signed with your Institution. Individual use is free unless we tell you otherwise.

Third-party services. The Services rely on third-party providers and may link to outside sites. We are not responsible for third-party sites or services we do not control.

Termination. You may stop using the Services at any time. We may suspend or end access if you violate these Terms, if your Institution's agreement ends, or if required by law. Sections that by their nature should survive, such as ownership, disclaimers, and limits of liability, survive termination.

7. Disclaimers, liability, and indemnity

Disclaimer. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT ALLOWED BY LAW, MIRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES OR AI OUTPUT WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of liability. TO THE EXTENT ALLOWED BY LAW, MIRA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. MIRA'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID MIRA IN THE 12 MONTHS BEFORE THE CLAIM OR $100.

Indemnity. You agree to defend and indemnify MiRA against claims arising from your misuse of the Services or violation of these Terms, to the extent allowed by law.

8. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Los Angeles County, California.

9. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date and notify users of material changes by email or in the app. Continued use after changes take effect means you accept them.
